This agreement is between Only Took Five LLC, doing business as Only Took Five ("OT5"), and you. It covers your part in the Finer Circle, OT5's invite-only ambassador program (the "Program").
1. Parties and eligibility
1.1 You are 18 or older and able to enter this agreement. 1.2 OT5 invites each ambassador by name. OT5 decides who joins, stays or leaves. 1.3 Nothing here makes you an employee, agent, partner or representative of OT5.
2. Term and termination
2.1 This agreement starts when you accept it and runs until either side ends it. 2.2 Either side can end it at any time, for any reason, with written notice. A text or email counts. 2.3 When it ends, your code is turned off. Commission already earned and past the 30-day hold is paid on the next monthly payout. Commission still inside the hold is paid once the hold clears, unless the order is returned. 2.4 Sections 6, 7, 8, 9 and 10 survive the end of this agreement.
3. Your code and link
3.1 OT5 gives you one discount code and one tracking link. 3.2 The code gives a new customer 10% off her whole first order at onlytook5.com. It does not work for returning customers. 3.3 The code does not combine with sale codes or rewards points. It does combine with free shipping at $100. 3.4 OT5 can pause, replace or retire the code with notice to you.
4. Commission
4.1 You earn a flat dollar amount per piece, on the products listed on your commission sheet, when a new customer's first order is placed with your code or through your link. 4.2 The amount per piece is on the sheet OT5 gives you. OT5 can add, remove or reprice products on the sheet with notice; the sheet in force on the order date applies. 4.3 No commission is earned on: a product that is not on the sheet; that customer's second or later orders; an order that is returned, refunded, cancelled or charged back; your own orders, or orders placed for you or your household; an order placed with any other discount code; an order OT5 finds to be fraud or self-referral. 4.4 Commission becomes payable 30 days after the order date. A return, refund or chargeback inside that window removes it; one after the window is deducted from your next payout. 4.5 Commission is paid by PayPal, once a month, to the PayPal account you give OT5. You keep that account current. There is no minimum payout. 4.6 OT5's order records decide which orders are attributed to you and what they pay. Raise any question within 30 days of the payout it concerns.
5. Content and posting
5.1 Every post, story and video about OT5 carries #ad where it is easy to see, in line with the FTC Endorsement Guides. Use the platform's paid-partnership label as well where one exists. Promotion without disclosure is grounds for removal and forfeits unpaid commission. 5.2 You speak for yourself, as a customer who wears OT5. You do not speak for Zeta Phi Beta Sorority, Inc., any chapter or any officer, and you never state or imply that the sorority or a chapter endorses, sponsors or profits from OT5. 5.3 OT5 is a licensed vendor of Zeta Phi Beta Sorority, Inc. Under that license you can show the sorority's marks in your posts about OT5 pieces, as the marks appear on the pieces. You do not put the marks on anything else or use them for any other purpose. 5.4 Follow each platform's rules. No paid search on OT5's name, no coupon or deal sites, no spam, no paid ads using your code without OT5's written OK.
6. Usage rights
6.1 When you post content about OT5 and tag @onlytookfive, use #OnlyTookFive or send it to OT5, you give OT5 permission to repost that content on OT5's own channels (Instagram, TikTok, Facebook, email and onlytook5.com) with credit to your handle. 6.2 OT5 can run your content as a paid ad, including from your own handle through Instagram or TikTok partnership tools, only with your permission for that specific content. Your yes can be a text or an email. 6.3 You can withdraw that permission at any time with 14 days' written notice. Within 14 days OT5 stops the ad and removes the content from its channels where you ask. 6.4 You confirm the content is yours and that the people, music and places in it are cleared for this use. OT5 has no obligation to use any content and can stop using it at any time.
7. Brand standards
7.1 Describe the pieces truthfully. They are designed by Sorors, for Sorors, and made to OT5's specifications. Never claim they are made by hand or sewn by the founder. 7.2 These words never appear in your posts about OT5: handcrafted, craft, craftsmanship, small-batch, merch, hand-made, and "Royal" on its own (always "Royal Blue"). 7.3 No stock counts, no ship dates and no price promises beyond what the site shows on that day. No sale claims that are not live on the site. 7.4 Use OT5's name, logo and photos only as OT5 provides them. OT5 keeps all rights in them, and your permission to use them ends with this agreement.
8. Confidentiality
8.1 Your commission sheet, the commission amounts, the names of the other ambassadors and anything shared on the monthly call are OT5's confidential information. Do not post, forward or discuss them outside the Finer Circle. 8.2 Your code and its 10% discount are public and meant to be shared.
9. Independent contractor and taxes
9.1 You are an independent contractor. You are not an employee, agent or partner of OT5, and you have no authority to bind OT5. 9.2 You are responsible for your own taxes on commission. 9.3 When your commission reaches $600 in a calendar year, you give OT5 a completed Form W-9 before the next payout, and OT5 issues the tax form the law requires.
10. General
10.1 The Program is provided as is. To the extent the law allows, OT5's total liability to you is limited to the commission paid to you in the prior three months, and OT5 is not liable for indirect or consequential damages. 10.2 You are responsible for your content and conduct and will cover OT5 for claims that arise from them. 10.3 OT5 can update these terms with notice; continuing in the Program after notice accepts the update. 10.4 Governing law: Georgia. Disputes are resolved in the courts of Carroll County, Georgia. 10.5 This is the whole agreement between us about the Program. If any part is unenforceable, the rest stands.
Version 2. Accepting below records your name, the date and this version with your application.
